Dada Nexus Receives 42% Premium Takeover Offer from JD-SW

Dada Nexus (DADA.US), a Chinese on-demand retail and delivery platform, announced that its Board has received a preliminary non-binding proposal letter dated 25 January 2025 from JD-SW (09618.HK) (JD.US) to acquire all of the outstanding ordinary shares of the Company for a price of US$2 per ADS, or US$0.5 per ordinary share, in cash.

The price represents a premium of approx. 42% to the closing price on the most recent trading day prior to the date of the proposal letter.

JD-SW acquired all of the approx. 87.5 million ordinary shares and 1.875 million ADS of Dada Nexus held by a subsidiary of Walmart (WMT.US) in September 2024. Hence, its shareholding ratio increased to 63.2%.
